Terms and Conditions
These Terms and Conditions ("Terms") apply to the services provided by Engaging Media LLC, referred to as "the Agency," to its clients, referred to as "the Client."
1. Services Provided
1.1.A. Content Creation Services
The Agency will create 20 "talking head style" short-form social media videos per month.
All videos will adhere to the specified format, custom editing style, and content strategy as agreed upon with the Client, within the quality level and scope similar to the video examples seen on the Creator Catalyst website.
Content creation includes:
Industry and competitor research for curation of 20 script topics per month.
Delivery of 20 first draft scripts per month, based on relevant topics. (Video script duration of 30-90 seconds on average.)
Guidelines and resources to assist the Client in batch recording their own content.
Custom video editing according to the clients branding, similar to the quality level and scope seen in the video examples seen on the Creator Catalyst website. (20 videos per month.)
Done-for-you posting of video content, including custom written captions, every weekday (20 per month.)
1.1.B. Lead-Generation and Strategy Consulting
Consulting and assistance (via Slack communication and provided online video and template resources) with:
Launching and managing Instagram advertising (Boosting Instagram Reels)
Creating a long-form video sales letter asset.
Creating the necessary messaging automations via the 3rd party software, Manychat.
1.2 Agency’s Responsibilities
The Agency will:
Conduct industry research and prepare video scripts in advance each month.
Provide guidance and best practices for video recording.
Edit videos according to the agreed style and specifications.
Deliver completed draft scripts and edited videos in a timely manner, ensuring they are ready to be scheduled for posting in advance.
Perform unlimited revisions on the initial video edit, in order to establish a custom video style to the Client's satisfaction.
Post client content on schedule every weekday, via the Agency Buffer.com account (unless client prefers to post their content themselves).
Offer consulting and resources on video recording, ManyChat setup, long-form video creation, and Instagram ad strategies.
Communicate via Slack: The Agency will respond to all client messages and inquiries within 12 hours (or less) during standard business hours.
The Agency will provide a custom Notion dashboard for the client to facilitate script reviews and via Notion.
1.3 Client’s Responsibilities
The Client will:
Review, customize and approve the 20 provided first draft scripts within no less than 7 days of delivery (during every month of active service.)
Record and upload high definition video footage to the allocated Google Drive folder within seven days of receiving prepared scripts (Using a modern smartphone or high quality digital camera.)
The Client will ONLY upload footage that they are personally satisfied with, in terms of recording quality, lighting, audio, and their spoken presentation, in order to avoid unnecessary editing revisions caused by the Client's desire to re-record their content.
Provide feedback on the first video edit within two to three days, in order to establish the Client's initial editing style.
Ensure that all materials (footage, approvals, feedback) are submitted within agreed deadlines to maintain the agreed upon posting schedule of 5 weekly videos (20 videos per month) consistently.
2. Package Options and Payment Terms
The Client may choose from the following package options:
Monthly Content Package: $1,450/month
This is a month to month package can be paused, or canceled anytime.
Three-Month Commitment Package (Paid Monthly): $1,250/month
This is a 3 month commitment and cannot be paused or canceled during the three-month period. The Client's investment is being financed by the Agency, and by signing up for this option the Client is responsible for 3 monthly payments of $1,250 regardless of any delays caused by the Client during the process. The client has the option of renewing, pausing, or cancelling after the initial 3 month period (60 videos posted over 3 months.)
If for any reason the client is unable to pay the $1,250 installment for all 3 months they have committed to, they will be responsible for upgrading their package to the Monthly Content Package: ($1,450/month) by paying the $200 monthly difference for past months, in order to cancel their engagement.Three-Month Commitment Package (Paid in Full): $3,450 paid upfront
This is a 3 month commitment and cannot be paused or canceled during the three-month period.
All payments are automatically processed on the same date each month based on the Client’s initial subscription date, or in the case of the paid in full option, every 3 months.
3. Rights and Ownership
Client Ownership: The Client retains full ownership of all video content produced. They have the right to use, modify, and distribute the videos as they see fit.
Agency Usage Rights: The Agency reserves the right to showcase created content on its website, social media, and marketing materials, unless the Client requests otherwise in writing.
4. Feedback & Revisions
The Client may request unlimited revisions within reason to ensure satisfaction with the final product.
Revision requests that exceed the agreed-upon scope may incur additional charges. (For example if work is already done, reviewed and approved, and then new changes are requested at a later date.)
Delayed feedback from the Client may impact delivery timelines. The Agency is not responsible for any delays in the established posting schedule, caused by the Client's inability to adhere to the above mentioned deadlines.
5. Cancellation and Refund Policy
Clients subscribed to the Monthly Content Package can pause or cancel at any time.
Clients subscribed to Three-Month Commitment or Paid in Full Packages cannot pause or cancel during the contracted period.
Refunds will not be issued for incomplete work due to client-initiated pauses or cancellations.
Since unlimited revisions are offered to ensure satisfaction, all payments are final and non-refundable once processed.
If the Agency terminates the agreement, completed work will be delivered, or refunds will be issued for unfinished content.
6. Client Commitment & Expectations
The Client acknowledges that content creation is a long-term strategy and that results (such as audience growth and engagement) may take time.
The Agency is not responsible for the performance of the Client's content on social media, and does not guarantee any specific measure of social media growth, lead generation, or sales results.
It's the Client's responsibility to make an offer to the market that is sought after, to generate client results and case study material that establishes credibility for their offer, and to record their content in such a way that they present themselves well and clearly in their video content, in order for their content to perform.
For best results, the Client is expected to:
Maintain a long-term mindset with regards to their content strategy.
Provide necessary materials and adhere to deadlines.
Engage consistently in the script review, batch content recording, content review and posting process.
Understand that video content effectiveness depends on multiple factors beyond production alone.
Do their best to optimize and personalize their Instagram profile and produce additional content for their brand beyond our done-for-you short-form videos.
7. Agreement
These Terms apply from the start date of service and will continue on a monthly or three-month basis depending on the selected package.
By submitting payment for the subscription, the Client agrees to these Terms and Conditions.
